These terms apply to all visitors, leads, customers, and users of CodeFusion UK services, including websites, CRM systems, dashboards, customer portals, automation services, maintenance plans, and related consulting.
Commercial proposals, statements of work, and written confirmations define each project scope, deliverables, timeline, and payment structure. If there is a conflict between these terms and a signed project document, the signed project document takes priority for that engagement.
Requests outside the agreed scope may require revised timelines and additional fees. We will confirm scope changes in writing before implementation.
Invoices are payable according to the terms stated in your proposal or invoice. Late payments may delay work, delivery, or support responses. Stripe may be used for secure payment processing.
Projects may include integrations with external providers such as payment gateways, APIs, domains, email providers, hosting tools, or analytics platforms. Third-party availability, policy changes, pricing changes, and outages remain outside our direct control.
Upon receipt of cleared payment for the relevant invoice stage, ownership of approved custom deliverables transfers to the client unless otherwise agreed in writing. Pre-existing frameworks, tools, methods, and reusable components remain our intellectual property.
Both parties agree to handle confidential commercial and technical information responsibly and not disclose it to unauthorised third parties except where required by law.
We provide services with reasonable care and skill. Except where non-excludable by law, services are provided on an "as is" basis regarding uninterrupted operation, third-party platform continuity, and outcomes influenced by external factors.
To the fullest extent permitted by law, our aggregate liability relating to a specific engagement is limited to the amount paid by the client for that engagement.
We may suspend services where required for security, non-payment, abuse prevention, or legal compliance. Either party may terminate an engagement in line with written contractual terms. Outstanding fees for completed work remain payable.
Neither party is liable for delay or failure caused by events beyond reasonable control, including infrastructure outages, cyber incidents, major provider disruption, or severe weather events.
These terms are governed by the laws of England and Wales, unless mandatory local law states otherwise.
